ACH Authorization

I hereby acknowledge and instruct my bank or financial services institution that CabiCash Solutions, Inc., doing business as Ualett (“Ualett”), or a third party acting on Ualett’s behalf, is authorized to withdraw such amounts from my account (each a “Withdrawal”) as remittance for the deal originated hereunder (the “Deal”). I acknowledge and agree that Ualett has given me advance notice of the dates and amounts of each Withdrawal, including the total amount to be remitted and the factor fee added in regard to the purchased on account receivables that Ualett has charged in connection with this purchase deal. Furthermore, I acknowledge that Ualett has made the deal and its proceeds available based on my future receivables. I also understand that nothing herein shall release or exempt me from any other outstanding balances or obligations owing to any other parties.

I acknowledge and agree that the deal and the proceeds extended hereunder are to be used exclusively for commercial and business purposes. I hereby represent and agree that the proceeds of the deal will not be used for any personal, family or household purpose (the “Permitted Use”). I acknowledge and agree that, at the sole and exclusive option of Ualett, amounts owing on account of the deal shall become immediately due and settled (i) should the proceeds from the deal not be used for the Permitted Use or (ii) the occurrence of such a change in my financial condition or affairs of my business such that Ualett is unsure that the prospects of timely and full remittance or performance of any of the obligations owing in connection with the deal. I knowingly, voluntarily, and intentionally accept and agree to the terms of the deal and acknowledge having been recommended and having the opportunity to consult with legal and financial counsel prior to entering into the deal.
